3. Bookkeeping & Accounting Services
Aspen Accounting & Advisory LLC provides bookkeeping, financial reporting, and related accounting services to clients under separate written engagement agreements. The following terms apply to all service engagements:
3.1 Scope of Services
All services provided by Aspen Accounting & Advisory LLC are defined exclusively in the signed Engagement Letter and Scope of Work Addendum for each client. Services not listed in those documents are considered out of scope and require a separate written agreement before work begins.
3.2 Client Responsibilities
Clients are responsible for providing accurate, complete, and timely financial information. Aspen Accounting & Advisory LLC is not responsible for errors, inaccuracies, or omissions in work product that result from incorrect or incomplete information provided by the client.
3.3 Not Tax or Legal Services
Bookkeeping and financial reporting services provided by Aspen Accounting & Advisory LLC do not constitute tax preparation, tax filing, tax advice, or legal advice. Clients requiring tax services should engage a licensed CPA or tax professional. Clients requiring legal advice should consult a licensed attorney.
3.4 Engagement Agreement Controls
In the event of any conflict between these Terms and a signed client engagement agreement, the terms of the engagement agreement shall control with respect to services rendered.
4. QuickBooks Online & Third-Party Platform Authorization
To perform bookkeeping services, Aspen Accounting & Advisory LLC may request access to your QuickBooks Online account or other third-party accounting platforms. By authorizing such access, you agree to the following:
4.1 Scope of Access
You authorize Aspen Accounting & Advisory LLC to access your QuickBooks Online account (or other designated platform) solely for the purpose of performing the bookkeeping services described in your engagement agreement. This includes viewing, categorizing, and reconciling transactions; generating reports; and importing or exporting financial data as needed to complete agreed services.
4.2 No Unauthorized Use
We will not use access to your accounting platform for any purpose beyond what is required to perform your contracted services. We will not share, sell, or transfer your account credentials or financial data to any third party without your explicit written consent, except as required by law.
4.3 Data Security
We take reasonable measures to protect the security of your financial data, including use of password-protected systems, encrypted communications, and secure file sharing. However, we are not responsible for security incidents caused by third-party software providers, including but not limited to Intuit QuickBooks, and their respective platforms, systems, or breaches. You are responsible for maintaining the security of any login credentials shared with us.
4.4 Revoking Access
You may revoke our access to your QuickBooks Online or other third-party accounts at any time by notifying us in writing at admin@aspenaccountingfirm.com and adjusting your account permissions directly within the platform. Revoking access while services are active may affect our ability to fulfill your engagement agreement.
4.5 Third-Party Platform Terms
Your use of QuickBooks Online or any other third-party accounting platform is subject to the terms of service and privacy policies of those platforms. We are not a party to those agreements and are not responsible for changes to third-party platform functionality, availability, or policies.
5. Payment Terms
Fees for services are established in each client's Engagement Letter. The following general payment terms apply unless otherwise stated in writing:
- Invoices are issued on a monthly basis or as agreed in the engagement letter.
- Payment is due on the date specified on each invoice.
- Clients who have signed an ACH Authorization Form authorize recurring electronic debits from their designated bank account on the agreed billing date.
- A late fee of $25 per week may be assessed on invoices more than 14 days past due.
- Services may be paused or suspended for accounts more than 14 days past due.
- Returned or rejected ACH payments may incur a $25 returned payment fee.
All fees are exclusive of any applicable taxes. Clients are responsible for any taxes associated with services received.
6. Confidentiality
Both parties agree to maintain the confidentiality of all non-public financial, business, and personal information disclosed in connection with services provided under these Terms. Aspen Accounting & Advisory LLC will not disclose client financial information to any third party without written consent, except:
- As required by applicable law, regulation, or court order.
- To subcontractors or service providers who assist in delivering services, subject to equivalent confidentiality obligations.
- As necessary to protect the rights, property, or safety of Aspen Accounting & Advisory LLC, its clients, or others.
This confidentiality obligation survives the termination of any service engagement or these Terms.
7. Intellectual Property
All content on this Website — including text, graphics, logos, images, and design elements — is the property of Aspen Accounting & Advisory LLC or its licensors and is protected under applicable intellectual property laws.
You may view, download, and print Website content for personal, non-commercial use only. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Website content without our prior written permission.
Work product created specifically for a client under an engagement agreement (such as reconciled books and financial reports) is provided to that client for their business use. With respect to professional services, our total liability for any claim arising out of or related to an engagement shall not exceed the total fees paid by the client to Aspen Accounting & Advisory LLC in the three (3) calendar months immediately preceding the event giving rise to the claim.
This limitation applies even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to defend, indemnify, and hold harmless Aspen Accounting & Advisory LLC and its members, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
- Your use of this Website or our services.
- Your violation of these Terms.
- Inaccurate, incomplete, or misleading information you provided to us.
- Your violation of any applicable law or the rights of a third party.
12. Privacy

Service engagements are established on a month-to-month basis unless a fixed term is specified in the signed engagement agreement. Either party may terminate a service engagement with 30 days written notice.
Upon termination:
- The client is responsible for all fees incurred through the termination date.
- Aspen Accounting & Advisory LLC will provide the client with all completed work product.
- All access to client accounts and platforms will be promptly revoked.
- Confidentiality obligations remain in effect following termination.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we do, we will revise the "Effective Date" at the top of this page.
For existing service clients, material changes to Terms that affect your engagement will be communicated via email to the address on file at least 14 days before taking effect. Your continued use of the Website or services after changes are posted constitutes your acceptance of the revised Terms.
15. Dispute Resolution
In the event of a dispute arising out of or relating to these Terms or any service engagement, the parties agree to first attempt to resolve the dispute through good-faith written communication within 30 days of notice of the dispute.
If the dispute cannot be resolved informally, both parties agree to submit the matter to binding arbitration in the State of Utah, in accordance with applicable arbitration rules. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Utah.
17. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions of these Terms will continue in full force and effect.
18. Entire Agreement
These Terms, together with any signed engagement agreement, scope of work, and our Privacy Policy, constitute the entire agreement between you and Aspen Accounting & Advisory LLC regarding their subject matter and supersede all prior understandings, representations, or agreements, whether written or oral.

Section 20. Use of Artificial Intelligence; Utah Disclosure (SB 149 / UAIP Act)
In compliance with the Utah Artificial Intelligence Policy Act (Utah Code § 13-2-12, as amended by S.B. 226, effective May 7, 2025), Aspen Accounting & Advisory LLC makes the following disclosures regarding our use of generative artificial intelligence ("AI") tools in our business operations and client communications.
20.1 AI Tools in Our Workflow
Aspen Accounting & Advisory LLC may use AI-assisted software tools to support internal bookkeeping operations, including but not limited to transaction categorization, data analysis, report drafting, and document preparation. All AI-generated work product is reviewed, verified, and approved by a licensed or qualified human professional before delivery to any client. AI tools do not make final financial decisions, and no AI-generated output is provided to clients without human review.
20.2 AI-Assisted Client Communications
If at any time a client communicates directly with an AI-assisted tool — including automated messaging, AI-generated email responses, or AI-powered chat — Aspen Accounting & Advisory LLC will disclose this clearly at the beginning of that interaction. You will never be led to believe you are communicating with a human when you are communicating with an AI system.
If you are uncertain at any time whether you are interacting with a human representative or an AI system, you have the right to ask and we are required by Utah law to answer clearly and promptly.
20.3 Financial Data & High-Risk Interactions
Because our services involve financial data and may include personalized financial guidance, all interactions involving your financial records, account information, or specific recommendations regarding your business finances are handled by a qualified human professional. AI tools are not used to generate personalized financial advice delivered directly to clients without human oversight.
20.4 No Deceptive Use of AI
Aspen Accounting & Advisory LLC does not use generative AI in any manner intended to deceive, mislead, or misrepresent the nature of our services or communications. We do not use AI to impersonate a human professional in any client interaction.
20.5 Updates to AI Use
Our use of AI tools may evolve as technology and our business practices develop. If we materially change how AI is used in client-facing interactions, we will update this section and notify active clients via email at least 14 days before the change takes effect.
